Terms and Conditions AGREEMENT – TERMS AND CONDITIONS OF USE1. Introduction Please read these terms and conditions carefully, as they pertain to the access and use of the Website and Services (as defined below). If you do not agree with the terms and conditions or do not meet the required specifications, you are not permitted to use the Website. If you wish to work with us, the terms and conditions addressed to our prospective clients do not apply to you. If you are a prospective client and use this Website, you may have entered into a Service Provision Agreement with Hellenic Bog. In this case, these terms and conditions, which are attached hereto—excluding those terms specifically addressed and applicable only to those interested in working with us (as defined below)—form part of and are incorporated into the Service Provision Agreement.2. Binding Agreement These terms and conditions, including any exhibits (as may be amended from time to time by Hellenic Bog), constitute a binding agreement between you and Hellenic Bog (the “Agreement”).3(A). Definitions The following definitions apply to this Agreement:Hellenic Bog refers to “HELLENIC BOG EMPLOYMENT SOLUTIONS IKE”, based in Nea Smyrni, Attica, at 18 Eleftheriou Venizelou St., 17121, with G.E.MI. number 165714908000.Hellenic Bog Website or the Website refers to www.hellenicbog.com, including its Content and Services.Content includes all Text, Documents, Graphics, Design, and Programming used on the Website.Design refers to the color schemes and layout of the Website. Programming refers to the user-side code (HTML, JavaScript, etc.) and server-side code used on the Website.Document refers to any material uploaded to the Website by a User (e.g., CV details, resumes, job postings).Employer refers to a natural or legal person who has contacted Hellenic Bog to access CVs for the purpose of recruiting candidates.Graphics includes all logos, tabs, and other graphic elements on the Website.Candidate to work with us is a User who posts information from their resume or their full resume on the Website to work with us.Services refers to all services provided through the Website by Hellenic Bog, as specified in the Service Provision Agreement concluded with prospective clients.Text refers to all text on each page of the Website.User refers to any natural or legal person using the Website.Registered Candidate to work with us is a Candidate who has filled in the job search form and thus created an account on the Website.You or your refers to the individual (or the legal entity on whose behalf you are acting) who agrees to these terms and conditions.3(B). Services for Candidates to Work with Us All candidates wishing to work with us may complete the job search form. Any candidate who fills out this form, in part or in full, is considered a Registered Candidate and will receive emails or phone calls from Hellenic Bog.4. Acceptable Use of the Website4.1. General Usage Rules: The Website is addressed to candidates wishing to work with us and prospective clients interested in our services. You may use the Website only for lawful purposes, within the scope of acceptable use defined by Hellenic Bog.4.2. License for Candidates to Work with Us: Hellenic Bog allows you to complete the relevant form, uploading basic contact information, resume details, your full CV, and your photo. You agree that you are solely responsible for the content of any Document you upload, for any information posted in the job search form, and for any resulting consequences.4.3. License for Prospective Clients: Hellenic Bog allows you to complete the service request form, uploading your business contact information and the services you seek. You agree that you are solely responsible for the content of the information you upload and any resulting consequences.4.4. Rules for Posting Information and Security: You agree to comply with Hellenic Bog’s Rules related to posting information and ensuring security, as described below.5. Intellectual Property Rights Except for the information and documents uploaded by users, the Website and all related intellectual property rights are the exclusive property of Hellenic Bog or its licensed providers. Subject to the limited usage license expressly granted under these terms, Hellenic Bog reserves all other rights for itself and its license holders.6. Disclaimers and Limitations of Liability6.1. Allocation of Responsibility: The Website includes forms where candidates may post resume details. Hellenic Bog’s services may result in inviting a Candidate for a job interview and possibly their hiring. Similarly, prospective clients post their business needs in a service request form, which Hellenic Bog may fulfill via a Service Agreement. Each User is responsible for taking appropriate precautions—such as they reasonably would in the course of ordinary diligence—when disclosing information, attending interviews, or offering employment.6.2. No Endorsements by Hellenic Bog: Nothing on the Website shall be construed as an endorsement, representation, or warranty regarding any User or third party, the Website, or any products or services.6.3. No Guarantee of Results: Hellenic Bog does not guarantee that use of the Website will lead to the hiring of a Candidate.6.4. Service Availability: Hellenic Bog will make every reasonable effort to ensure the Website is continuously available and fully functional. However, there may be times when the Website or parts of it are unavailable due to IT system maintenance or third-party IT dependencies. Hellenic Bog is not liable for any loss or damage that may result to a User in such cases.6.5. Security: Hellenic Bog takes all reasonable steps to ensure that the Website is virus-free and that third parties cannot access Users’ personal data or use uploaded Documents or information. However, since no system is foolproof, Hellenic Bog cannot guarantee complete success. Therefore, Hellenic Bog shall not be held liable for any loss or damage resulting from unsuccessful security measures.6.6. No Additional Warranties: Except as expressly stated in these terms and conditions, the Website is provided “as is” without any further warranties of any kind to Users.6.7. Claims Related to this Agreement: To the extent permitted by applicable law, clause 6.9 limits Hellenic Bog’s financial liability (including liability for acts and omissions of its employees, agents, and subcontractors) for: (a) Any breach of this Agreement; (b) Any representation, statement, tort, or omission (including those due to negligence) arising in connection with this Agreement.6.8. Exclusion from Limitation of Claims: Nothing in these terms shall limit Hellenic Bog’s liability: (a) For death or personal injury caused by its negligence; (b) For any matter it would be illegal to exclude or attempt to exclude liability under applicable law; (c) For fraud or fraudulent misrepresentation.6.9. Limitation of Claims: Subject to clause 6.8: (a) Hellenic Bog shall not be liable to the User or any third party for lost profits, business loss or opportunity, or any punitive, exemplary, indirect, or consequential damage, however caused. (b) The User’s sole and exclusive remedy for any loss, claim, or damage relating to the Services shall be strictly limited to the total amount the User has paid under this Agreement or the Service Agreement (if applicable).7. Termination and Suspension If you are a prospective client, you may terminate this Agreement in accordance with Article 8 below. Hellenic Bog may suspend any User’s access to the Website whenever reasonably deemed necessary to protect its own interests or those of another User. Hellenic Bog is not obligated to notify you in advance of suspension, and such suspension may last as long as reasonably necessary or as required by applicable law or authority.8. Payment for Services upon Termination by Prospective Clients Unless otherwise stated in the Service Agreement, if you terminate the Service Agreement (which includes these terms) during its term without breach by Hellenic Bog, and such termination is expressly allowed, Hellenic Bog reserves the right to collect payment for the Services rendered up to the termination date.9. Links to Other Websites The Hellenic Bog Website may contain links to third-party websites for your convenience. These links do not constitute an endorsement of their content. Hellenic Bog is not responsible for the content or accuracy of materials on third-party websites, and any access is at your own risk. 10. Indemnification You agree to defend, indemnify, and hold harmless Hellenic Bog (including its subsidiaries or affiliates, directors, employees, and agents) and to intervene in defense of any third-party claims, lawsuits, or demands (including, without limitation, reasonable attorneys' fees and expenses) that arise from any Document or information you have posted on the Website that infringes on third-party rights (including, indicatively, defamation or intellectual property infringement) or from your failure to comply with labor laws and applicable legislation in general. Hellenic Bog will make reasonable efforts to notify you of such a claim, lawsuit, or prosecution and will assist in your defense at your own expense.11. Privacy Policy The Privacy Policy posted on the Website is incorporated into and forms part of this Agreement by reference.12. Questions and Notices Questions relating to these terms and conditions and the use of the Website should be directed to the Customer Service Department. Notices to Hellenic Bog may be sent to the address stated above in Section 3, and notices to you will be sent to the address you have provided or (if no physical address has been provided) to the email address used during registration and account creation on the Website.13. General Provisions 13.1 Access to the Content may not be lawful for certain individuals or in certain countries, and such individuals are not authorized to enter or use the Website. If you access the Website from outside Greece, you do so at your own risk and are responsible for compliance with the laws of your country. 13.2 The governing law for this Agreement and the Service Provision Agreement (if applicable) is Greek law. Exclusive jurisdiction over any claims arising out of the Agreement or the Service Provision Agreement lies with the courts of Athens. 13.3 Your sole relationship with Hellenic Bog is that established by this Agreement and the Service Provision Agreement (if applicable). The invalidity of any term of this Agreement does not affect the validity of the Agreement or the Service Provision Agreement (if applicable). In the event of a conflict between the terms of the Agreement and the Service Provision Agreement, the order of precedence is: (1) Service Provision Agreement, (2) Agreement. 13.4 All provisions of the Agreement remain in effect even after its termination, except those granting access to or use of the Website, which cease immediately upon termination. 13.5 You may not assign or transfer to a third party the rights and obligations you have under this Agreement. 13.6 Failure or delay by either party to exercise any right under this Agreement or the law shall not be construed as a waiver of such rights, which may be exercised at any time.Hellenic Bog Rules on Posting Documents and Information on the Website and Website SecurityHellenic Bog reserves the right, at its sole discretion, to suspend or terminate Website use by Users who violate the following Rules. Hellenic Bog may modify the Rules at any time at its sole discretion.A1. Rules for Posting Documents (a) Your Document must not contain: (i) URLs or links to other websites. (ii) Material protected by intellectual property rights (unless you are the owner or have permission from the owner to use and post the protected material on the Website). (iii) Trade secrets (unless you are the owner or have permission from the owner to use and post them). (iv) Material that infringes any other copyrights, personal data, or publicity rights of others. (v) Irrelevant keywords or white text keywords (including hidden words embedded in the Document). (vi) Any pornographic, obscene, false, defamatory, abusive, threatening, harassing, inaccurate, offensive, violent, sexual, vulgar, slanderous, or harassing content. (vii) Content that ridicules or is offensive to any natural or legal person.(b) You may not use your Document to: (i) Impersonate another person, living or deceased. (ii) Post false, inaccurate, or misleading information/Documents. (iii) Post advertisements or business proposals. (iv) Post chain letters. (v) Post opinions or announcements, commercial or otherwise.(c) Your Document must include sufficient detail to clearly inform Hellenic Bog of your resume, professional experience, education, acquired skills, and overall qualifications as a candidate for employment with us.(d) All resumes posted on the Website must contain accurate, truthful, and up-to-date information about the Job Applicant seeking employment.(e) Hellenic Bog is not responsible for reviewing Documents posted by Job Applicants, but may perform random spot checks. Documents found to be in violation of these rules may be removed at Hellenic Bog's sole discretion.A2. Security Rules (a) Users are prohibited from violating or attempting to violate the Website's security, including (but not limited to): (i) Accessing data not intended for the User or logging into a server or account the User is not authorized to access. (ii) Attempting to probe, scan, or test the system or network for vulnerabilities, or breach security or authentication measures without authorization. (iii) Attempting to disrupt services to any User or network, including without limitation, by means of introducing a virus to the Website, overloading, flooding, mailbombing, or crashing. (iv) Sending automated emails, including promotional or advertising materials for products or services. (v) Forging any information.(b) Violation of these Security Rules may result in civil or criminal liability. Hellenic Bog will investigate incidents that may involve such violations and may involve or cooperate with law enforcement or other competent authorities to prosecute Users involved in such violations.
